Terms of Service

1. Acceptance of Terms
By accessing or using StudyApp Inc. (the "Platform", "Service", "we", "us", or "our") — including our website, mobile application, and related services — you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you must discontinue use immediately.
2. Description of Service
StudyApp Inc. is an AI-powered educational platform that provides personalized study plans, grade predictions, diagnostic assessments, performance analytics, and learning resources. The Platform is operated by StudyApp Inc. and is accessible globally, with primary compliance governed under the laws of Alberta, Canada.
3. Eligibility and Account Registration
3.1 Account Creation
To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity under your account.
3.2 Minimum Age
You must be at least 13 years old to create an account and use the Service — or at least 16 years old where the General Data Protection Regulation or other local law sets a higher age of digital consent. The Service is not directed to children under 13, and we do not knowingly permit them to register.
If you are at least 13 but under the age of majority in your jurisdiction (18 in most Canadian provinces), you may use the Service only with the consent and supervision of a parent or legal guardian, who agrees to be bound by these Terms on your behalf. Parents and guardians are responsible for supervising minor users.
4. User Content
4.1 Uploaded Notes and Images
Users may upload or capture images, photographs of notes, documents, audio, and other content ("User Content") to the Platform for study and analysis purposes. By submitting User Content, you represent and warrant that:
- You own or have the necessary rights to the content;
- The content does not violate any third-party intellectual property, privacy, or other rights;
- The content does not contain illegal material, malware, or content that violates these Terms.
4.2 License Grant
By submitting User Content, you grant StudyApp Inc. a non-exclusive, worldwide, royalty-free license to use, store, process, and analyze your User Content solely to provide and improve the Service. We do not claim ownership of your User Content, and we do not permit our third-party AI providers to use it to train their general-purpose models.
4.3 Content Moderation
StudyApp Inc. reserves the right (but not the obligation) to review, remove, or disable access to User Content that violates these Terms or applicable law.
5. Subscriptions and Payments
5.1 Subscription Plans
StudyApp Inc. offers paid subscription plans ("StudyApp Pro") which provide access to premium features. Subscriptions are offered on a monthly or annual basis, as selected at checkout, and are auto-renewing. Payment is charged at confirmation of purchase, and your subscription renews automatically at the then-current price for the same period unless cancelled at least 24 hours before the end of the current period. The applicable price and billing period are displayed clearly before you complete a purchase.
5.2 Payment Processing
Subscriptions purchased within our iOS app are processed by Apple through In-App Purchase and are charged to your Apple ID account. Subscriptions purchased on our website are processed by Stripe, Inc. We use RevenueCat, Inc. to manage and validate subscription entitlements across platforms.
We do not receive or store your full payment card details. Your payment information is subject to the privacy policy and terms of the applicable payment processor.
5.3 Pricing
Prices are displayed in the currency applicable to your region. Applicable taxes may be added at checkout. We reserve the right to change pricing at any time, with notice provided to existing subscribers before their next billing cycle.
5.4 Cancellation and Refunds
Subscriptions purchased through Apple In-App Purchase renew automatically unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage or cancel these subscriptions in your Apple ID settings (Settings → your name → Subscriptions) on your device. Refunds for purchases made through Apple are handled solely by Apple in accordance with Apple's policies; we are unable to issue them directly.
Subscriptions purchased on our website can be managed or cancelled at any time through your account settings in the app or on the web.
Cancellation takes effect at the end of the current billing period, and you retain access to paid features until that date. Fees paid are generally non-refundable except where required by applicable consumer protection law (including Alberta's Electronic Commerce Act and applicable consumer protection statutes). Users in the European Union, United Kingdom, and other jurisdictions with statutory cancellation rights may exercise those rights within the applicable statutory period.
5.5 Free Trials and Promotional Offers
If a free trial or promotional offer is made available to you, it will automatically convert to a paid Subscription at the end of the offer period unless you cancel before it ends. The terms of any such offer will be disclosed at the time it is presented.
6. Intellectual Property
All content, features, technology, algorithms, branding, and materials provided by StudyApp Inc. — excluding User Content — are owned by or licensed to StudyApp Inc. and are protected by Canadian, U.S., and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, or exploit any part of the Service without our express written permission.
7. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of these Terms;
- Attempt to reverse engineer, decompile, or access the Platform's source code or algorithms;
- Upload malicious code, viruses, or harmful content;
- Misrepresent your identity or impersonate any person or entity;
- Scrape, harvest, or systematically collect data from the Platform without authorization;
- Interfere with or disrupt the integrity or performance of the Service;
- Use the Platform to infringe any third-party intellectual property rights;
- Use the Service in any manner that violates your school's, college's, or institution's academic integrity or academic honesty policies. The Service is a study aid. You are solely responsible for ensuring your use of it complies with the rules of any course, examination, or institution you are subject to, including any rules restricting the use of AI tools on assessed work.
8. AI-Generated Content and Accuracy
StudyApp Inc. uses artificial intelligence to generate study plans, grade predictions, and personalized recommendations. You acknowledge that:
- AI-generated content may contain errors and is not a guarantee of academic outcomes;
- Grade predictions are estimates based on available data and are not professional academic advice;
- You are responsible for verifying AI-generated study material against your own course sources;
- StudyApp Inc. is not responsible for any academic decisions made based on the Platform's outputs.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. STUDYAPP INC. DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STUDYAPP INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless StudyApp Inc. and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
12. Third-Party Services
The Platform integrates with and links to third-party services, including Apple (In-App Purchase), Stripe (web payments), RevenueCat (subscription management), Supabase (hosting and storage), Google (AI processing), Resend (email delivery), and Expo (push notifications). We are not responsible for the practices or content of third-party services. Your use of such services is governed by their respective terms and privacy policies.
13. Termination
StudyApp Inc. reserves the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or for any other reason at our discretion, with or without notice. You may delete your account at any time directly in the app (Settings → Delete account), or by contacting us. Upon termination, your right to use the Service ceases immediately. Deleting your account does not automatically cancel a subscription purchased through Apple — you must cancel that in your Apple ID settings (see §5.4).
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Alberta, Canada, except where mandatory consumer protection laws in your jurisdiction provide otherwise.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the effective date. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

17. Apple App Store — Additional Terms
The following additional terms apply to your use of our iOS application obtained through the Apple App Store:
- These Terms are concluded between you and StudyApp Inc. only, and not with Apple Inc. ("Apple"). StudyApp Inc., not Apple, is solely responsible for the Service and its content.
- Your license to use the application is a non-transferable license to use it on any Apple-branded device that you own or control, as permitted by the Usage Rules set out in the Apple Media Services Terms and Conditions.
- Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the Service.
- In the event of any failure of the application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the application.
- StudyApp Inc., not Apple, is responsible for addressing any claims by you or any third party relating to the application or your possession and/or use of it, including: (i) product liability claims; (ii) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
- In the event of any third-party claim that the application or your possession and use of it infringes that third party's intellectual property rights, StudyApp Inc., not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.
- You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
